Prologis, Inc., leader mondiale nel settore immobiliare logistico, e Liberty Property Trust (NYSE: LPT) hanno annunciato oggi di aver siglato un accordo definitivo di fusione che prevede l’acquisizione di Liberty Property Trust da parte di Prologis in una transazione per azioni del valore di USD 12,6 miliardi circa. Il Consiglio di Amministrazione di Prologis e il Board of Trustees di Liberty Property Trust hanno approvato all’unanimità l’operazione.
“Gli asset logistici di Liberty Property Trust sono estremamente complementari al nostro portafoglio USA e l’acquisizione aumenta il nostro portafoglio e il nostro potenziale di crescita in diversi mercati chiave”, ha dichiarato Hamid R. Moghadam, chairman e CEO di Prologis chairman. “La complementarietà strategica dei portafogli ci permette di generare rapidamente sinergie sul fronte dei costi e dei ricavi a lungo termine”.
Attraverso l’acquisizione Prologis rafforza la propria presenza in mercati chiave quali quelli della Lehigh Valley, Chicago, Houston, Central PA, New Jersey e della California meridionale. L’acquisizione comprende:
- 107 milioni di piedi quadrati di immobili per la logistica; 87% dei quali nei mercati chiave
- 5,1 milione di piedi quadrati di immobili per la logistica in fase di sviluppo
- 1.684 acri di terreni per futuri sviluppi con un potenziale costruttivo di 19,7 milioni di piedi quadrati
- 4,9 milioni di piedi quadrati di spazio per uffici già operativi o destinati allo sviluppo
Prologis prevede di dismettere circa USD 3,5 miliardi di asset (pro rata share basis). Tra questi USD 2.8 miliardi di immobili per la logistica considerati non strategici e USD 700 milioni di spazi per ufficio. In base all’accordo gli azionisti Liberty riceveranno 0,675x di azioni Prologis per ogni azione Liberty posseduta. La transazione sarà completata entro il primo trimestre 2020 ed è soggetta all’approvazione da parte degli azionisti Liberty e alle altre condizioni standard.
